Terms of Use
Short version: the site is information and a free estimate tool. The estimate is an estimate, not a quote. Nothing here is a contract to do work — that comes later, in writing.

Agreeing to these terms
By using middlernd.com you accept these terms. If you do not accept them, do not use the site. These terms are between you and Middle Research and Development (“Middle R&D”, “we”).
The estimate is an estimate
The leak estimate tool takes your answers and runs them through fixed assumptions that are published on the page and in the summary email. It is a rough sense of scale — nothing more.
- It is not a quote, a proposal, a valuation, or an audit finding.
- It is not financial, accounting, tax, legal or investment advice, and it is not a substitute for any of those.
- It is generated from figures you supply, which we do not verify. Wrong inputs produce wrong outputs.
- It is shown as a range for that reason, and the range is not a guarantee that your actual number falls inside it.
- Do not make a spending, hiring or financing decision on the basis of it. Use it to decide whether a conversation is worth 45 minutes.
What the $25,000 line means
We say that a Gap Diagnostic either identifies at least $25,000 of annual leak or we pass. That is a condition of how we take on work — a threshold for whether we will quote at all — and not a promise that your business is losing that amount, that any amount will be recovered, or that any result will be achieved.
Any figure we identify on a call is our professional opinion at that moment, based on what we can see. Outcomes depend on your business, your team, your data and your execution, and we do not guarantee them. Where we have described results, they are what happened in a specific situation and are not a representation that you will do as well.
Applications are not agreements
Submitting an application does not create a contract, an engagement, or any obligation on either side. We may decline any application for any lawful reason, and we frequently do.
If we do work together, it is governed by a separate written agreement covering scope, price, timing and confidentiality. That agreement — not this website — controls the relationship, and it prevails over anything stated here or in any marketing copy.
Using the site properly
- Do not submit false information, someone else’s personal data, or applications you have no intention of honouring.
- Do not scrape, crawl at abusive rates, probe, or attempt to interfere with the site or its APIs.
- Do not use the site to break a law, infringe a right, or send anything unlawful.
- Automated access to the public pages is allowed within the rules published at /robots.txt.
Who owns what
The site’s text, design, code, images and the “Middle R&D” name and mark belong to us. You may read, quote reasonably with attribution, and link to the site. You may not copy it wholesale, resell it, or present it as your own.
Anything you send us — an application, a note, a reply — stays yours. You give us permission to use it for the purpose you sent it for, which is deciding whether and how we can help you.
Links to other sites
Where we name a tool or platform, we are describing it, not endorsing it, and we are not responsible for anything on a site we do not run.
No warranties
The site and the estimate tool are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise the site will be uninterrupted, error-free, or that any calculation is accurate for your situation.
Limits on liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of this site or your reliance on the estimate. Our total liability for any claim relating to the site is limited to one hundred US dollars ($100).
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you. Nothing here limits liability for fraud or for anything that cannot lawfully be limited.
Indemnity
If your misuse of the site causes a third-party claim against us, you agree to cover the resulting costs, including reasonable legal fees.
Governing law
These terms are governed by the laws of the State in which Middle Research and Development maintains its principal place of business, without regard to conflict-of-law rules. Disputes go to the state or federal courts located there, and both of us consent to that.
Changes
We may update these terms. The date at the top says when. Using the site after a change means you accept the current version.
